Thomas Fox has practiced law in Houston for 25 years. He is now assisting companies with FCPA compliance, Risk Management and international transactions. He was most recently the General Counsel at Drilling Controls, Inc., a worldwide oilfield manufacturing and service company.  He was previously Division Counsel with Halliburton Energy Services, Inc. where he supported Halliburton’s software division and its downhole division, which included the logging, directional drilling and drill bit business units.

 

Tom attended undergraduate school at the University of Texas, graduate school at Michigan State University and law school at the University of Michigan.

 

Tom writes and speaks nationally and internationally on a wide variety of topics, ranging from FCPA compliance, indemnities and other forms of risk management for a worldwide energy practice, tax issues faced by multi-national US companies, insurance coverage issues and protection of trade secrets.

 

 

Background

Compliance Work: i) Development of due diligence standards and practice for the approval of international agents; ii) lead Task Force to develop and implement due diligence on following categories of vendors; suppliers, agents and business partners; iii) lead training for FCPA and compliance through classroom and development of online training; iv) investigation of international FCPA and Code of Conduct violations in multiple international locations; v) interact with US Department of Justice appointed oversight Compliance Counsel.

Export Control Director: Development, drafting and implementation of Export Control Manual; training of employees on export control, anti-boycott and related international trade topics; review of all product offerings to determine licensing status for US export control.

International Contracting: Negotiation of contracts for the entire range of oilfield service products and services. Significant contracts include: National Data Libraries in Africa, Europe and Asia; Real-Time Operation Centers in Europe and Asia; Master Software, M&S and Consulting Agreements; software development Outsourcing Agreements; EPC contracts; manufacturing agreement with Chinese manufacturer to construct oilfield service parts; and purchase of software development and consulting entities.

M&A Work: Divestiture of JV with Pakistani limited partner. Performed all required due diligence and investigation for sale. Secured entities in North America, Europe and Middle East. Provided legal counsel for divestiture of JV with Algerian limited partne. Sale of SW division to newly incorporated entity. Provided legal counsel for divestiture of JV with Chinese government owned limited partner.

International Assignment in Dubai: Seconded to company’s Dubai office on long term assignment to provide legal support to aide in the negotiation and approval of all commercial contracts while training new hires in contracting and compliance policies in the Middle East. Traveled extensively throughout Middle East and Europe during secondment for contract negotiation and to provide training.

Protection of and Monetization of IP Rights: Development of a licensing system to capture the value, and protection, of IP rights for the operating systems software developed through the following contracts: License, Maintenance and Support, Hardware, Systems, Training and Professional Services Agreements; redefined the sales methodology segregating commercial offerings to create and capture additional value.
